This Amendment No. 3 is being filed to amend the Schedule 13G filed by The Dow Chemical Company on February 13, 2015, as previously amended on June 9, 2017 and September 11, 2017.

This statement is being filed by (i) DowDuPont Inc., a Delaware corporation (“DowDuPont”), (ii) The Dow Chemical Company, a Delaware corporation (“TDCC”) and (iii) Dow Inc., a Delaware corporation (“Dow”, and together with DowDuPont and TDCC, each, a “Reporting Person” and together, the “Reporting Persons”).

The Reporting Persons have entered into a Joint Filing Agreement, dated as of April 3, 2019, a copy of which is attached as Exhibit 1 hereto, pursuant to which the Reporting Persons have agreed to file this statement jointly in accordance with the provisions of Rule 13d-1(k)(1) of the Securities Exchange Act.

On April 1, 2019, DowDuPont completed the previously announced separation of its materials science business by way of a pro rata distribution of all of the then-issued and outstanding shares of common stock of Dow to DowDuPont’s stockholders. As a result of certain internal reorganization transactions undertaken by DowDuPont in connection with the separation, TDCC became a wholly-owned subsidiary of Dow, and, as a result of the distribution, Dow became an independent publicly traded company and DowDuPont ceased to have any beneficial ownership of Dow. As a result, DowDuPont ceased to beneficially own any shares of Common Stock.
